Note: UAE cost, timing and visa figures are indicative and vary by emirate, free zone and number of visas. UAE tax and ownership points come from the UAE Government portal (u.ae) and the UAE Ministry of Finance (mof.gov.ae), linked below.
2. Ownership and Capital
Indonesia. A PT PMA is the company type for foreign shareholders, with up to 100% foreign ownership in most sectors. It needs at least two shareholders (individuals or companies), one director and one commissioner.
The real hurdle is capital. Since 2 October 2025 the minimum paid-up capital is IDR 2.5 billion (BKPM Regulation No. 5 of 2025). Nothing is paid before incorporation; the money then goes into the company's Indonesian bank account, stays there at least 12 months, and can only be spent on assets, construction or operations. There is also an investment plan above IDR 10 billion per activity per location, realised over time. Our PT PMA minimum capital guide explains both.
UAE. The UAE Government portal confirms that free zone companies can be fully foreign-owned. On the mainland, Federal Decree-Law No. 26 of 2020 allows 100% foreign ownership, though activities of "strategic impact" can be restricted. Capital rules differ by free zone.
3. Corporate Tax, VAT and Getting Profits to Pakistan
On headline rates, the UAE is lower.
- UAE corporate tax: 0% on taxable income up to AED 375,000 and 9% above, for financial years starting on or after 1 June 2023 (u.ae). A free zone company that meets the conditions of a Qualifying Free Zone Person can apply 0% to its qualifying income, and all free zone companies must still register for corporate tax (UAE Ministry of Finance).
- Indonesian corporate tax: 22%. Companies with turnover up to IDR 50 billion get a 50% rate cut on the taxable income attributable to the first IDR 4.8 billion of turnover.
- VAT: 5% in the UAE since 1 January 2018 (UAE Ministry of Finance); 12% headline in Indonesia, effectively 11% for most goods and services.
Paying profits home. Indonesia withholds 20% on dividends to non-residents. The Pakistan–Indonesia treaty cuts this to 10% where a Pakistani company holds at least 25% of the PT PMA, and 15% otherwise, including for individuals. Interest and royalties are taxed at 15%. Treaty rates need a Certificate of Domicile on the Indonesian tax office's form, and the recipient must be the beneficial owner.
In the UAE, the Ministry of Finance states that withholding tax applies at 0%. The UAE–Pakistan tax treaty was signed in 1993 and entered into force in 2000, according to the Ministry of Finance's treaty list. How Pakistan taxes the income depends on your tax residence there, so ask a Pakistani tax adviser.
4. Residency Visas: Investor KITAS vs UAE Investor Visas
Indonesia. The Investor KITAS (E28A) lets a shareholder live in Indonesia and run the company. You must personally hold shares worth at least IDR 10 billion (about USD 555,000) and show USD 2,000 in funds. It lasts 1 or 2 years and needs only one trip: the stay permit is issued at the border. IndoDesk charges from USD 1,200, with approval in 4–7 working days. Family can join you, and after 3 consecutive years you may apply for permanent stay (KITAP). Below IDR 10 billion, the usual route is a work KITAS (E23) with an approved RPTKA. Pakistanis cannot get a Visa on Arrival, so for a first visit apply for a C2 business visa before travelling.
UAE. Owners apply for residence as investors or partners. The UAE Government portal lists a 5-year renewable Green visa for investors and business partners, which allows sponsoring a spouse and children, and a Golden visa of 5 or 10 years for larger investors (stated minimum capital AED 2 million). Requirements and costs depend on the emirate and free zone.
5. Market Size and Access
This is the biggest difference. Indonesia has about 285 million people and is Southeast Asia's largest economy, growing 5%+ a year. The UAE has about 11.3 million people but serves as a hub for the wider Gulf.
The UAE Government portal says free zone companies generally cannot sell directly into the mainland without mainland licences or approvals; otherwise they use a licensed distributor or a mainland branch. In return, goods imported into a free zone carry 0% customs duty, which suits re-export trading.
A PT PMA can sell across Indonesia within its licensed activities (KBLI codes). Indonesia's trade agreements include ASEAN, RCEP, a preferential trade agreement with Pakistan (since 2013) and a CEPA with the UAE (in force since September 2023).
6. Documents: Apostille vs Attestation
Indonesia joined the Apostille Convention in June 2022, and Pakistan's membership took effect on 9 March 2023. A Pakistani power of attorney therefore needs only notarising and an apostille from Pakistan's Ministry of Foreign Affairs, with no embassy legalisation, so you can register a PT PMA without leaving Pakistan. Our guide for Pakistani investors lists the documents.
The UAE is not an Apostille member. According to the UAE Embassy in Islamabad, Pakistani documents are first attested by Pakistan's Ministry of Foreign Affairs, then by the UAE Embassy and the UAE Ministry of Foreign Affairs, with the original required.
Likewise, UAE-issued documents for Indonesia, such as a power of attorney signed in Dubai, need consular legalisation rather than an apostille.
7. Banking
In Indonesia, a director or authorised signatory normally attends the bank in person, and many banks want the foreign director's KITAS first. IndoDesk times the bank appointment to your KITAS trip. Do not plan on opening an Indonesian corporate account fully remotely. In either country, the bank decides after its own checks, so have source-of-funds evidence ready.
8. What the First Year Really Costs
| Indonesia item | Cost |
|---|---|
| PT PMA registration (government fees included) | From USD 1,400 |
| Virtual office, Jakarta or Bali (1 year) | From USD 150 |
| Investor KITAS (if you qualify) | From USD 1,200 |
| Family KITAS | USD 800 per person |
| Tax and compliance retainer | From USD 300 per month |
| Apostille in Pakistan (third party) | About PKR 5,000–15,000 per document |
Registration plus a year of virtual office starts from about USD 1,550. The bigger number is the IDR 2.5 billion of paid-up capital: not a fee, since it is spent on the business, but you still need it. For the UAE, budget the indicative USD 3,000–7,000 for setup plus USD 3,000 or more per residence visa, and ask each free zone for its renewal and visa costs in writing.
9. Which Should You Choose?
Decide by where your customers are:
| Your business | Better fit | Why |
|---|---|---|
| Restaurant, café or food brand for Indonesians | Indonesia | Local licences needed; one F&B investment plan covers outlets in one city or regency |
| Manufacturing or assembly | Indonesia | Large home market plus ASEAN and RCEP access |
| E-commerce selling to Indonesians | Indonesia | Local entity needed; check KBLI codes, as some online retail is reserved for Indonesian small businesses |
| IT or professional services for Indonesian clients | Indonesia | Local contracts, invoicing and staff |
| Re-export trading across the Gulf | UAE free zone | 0% customs duty into the free zone, low corporate tax |
| Consulting or digital services for Gulf clients | UAE free zone | Close to customers, low tax |
| Holding company for several countries | UAE, with real substance | 0% withholding tax; treaty access depends on substance |
| Capital well below USD 140,000 | UAE, or wait | A PT PMA needs IDR 2.5 billion paid up |
In short: to sell in Indonesia you need a PT PMA; to serve the Gulf from a low-tax base, Indonesia adds cost you do not need.
10. Can You Have Both?
Yes. Some founders keep a UAE company for Gulf trade and a PT PMA for Indonesia, sometimes with the UAE company as a shareholder. Know three things first:
- Treaty rates are not automatic. The Indonesia–UAE treaty sets withholding at 10% on dividends, 7% on interest and 5% on royalties, but the UAE company needs a Certificate of Domicile and must be the beneficial owner, which a company without real substance may fail.
- The Investor KITAS needs personal shares. Shares held through your UAE company do not count towards your own IDR 10 billion.
- Paperwork takes longer. The UAE company's documents need consular legalisation.
Whether this saves tax depends on your figures, so take advice in all three countries first.
11. Frequently Asked Questions
Is it cheaper to set up a company in Indonesia or the UAE?
IndoDesk registers a PT PMA from USD 1,400 including government fees; UAE free zone setup is typically quoted at USD 3,000–7,000 depending on the free zone and visas. But a PT PMA also needs IDR 2.5 billion (about USD 140,000) of paid-up capital.
Which country has lower corporate tax?
The UAE: 0% on taxable income up to AED 375,000 and 9% above, and Qualifying Free Zone Persons can apply 0% to qualifying income. Indonesia's rate is 22%, with a partial 50% cut for companies with turnover up to IDR 50 billion.
Can a Pakistani own 100% of a company in both countries?
Yes, for most activities. Indonesia allows up to 100% foreign ownership in most sectors under the Positive Investment List. UAE free zone companies can be fully foreign-owned, and mainland companies have allowed 100% for most activities since 2021.
Do Pakistani documents need embassy attestation?
Not for Indonesia: an apostille from Pakistan's Ministry of Foreign Affairs is enough. For the UAE, which is not an Apostille member, documents are attested by Pakistan's Ministry of Foreign Affairs, then by the UAE Embassy and the UAE Ministry of Foreign Affairs.
Can I serve Indonesian customers from a UAE company?
You can sell to Indonesian buyers cross-border, but to hire staff, hold local stock, invoice locally or get an Investor KITAS you need an Indonesian company, normally a PT PMA.
